upgrade to 9.1 & integrate project

We have a client that wants us to upgrade him from 8.11 to 9.1 (and of course some new business setup along with customized reports), also he wants to integrate his E1 instance and his POS system.
Also he has another two requests, because he is a retailer, he can’t cutoff his users, so the users have to use the old instance till the new one is ready (upgraded, integrated, and updated with the latest business data). The other request is to work on virtual machines (hyperV)…I know it is not supported…and he also knows that quit well!!

Am doing the planning and I am really confused between two scenarios, the first one is as following:
1.Build VM instance (mirrored from the 8.11 production environment).
2.Upgrade this instance to 9.1
3.two parallel sub tasks should be running on the new 9.1 instance:
a.New business setup with the customization required.
b.Integration with POS.
4.Finalize the New business setup (training, fine tuning)
5.Updates business data & control tables (data migration from the most updated 8.11 production environment to the new VM 9.1 integrated environment)
6.Go live.
While the second one is as following:
1.Build VM instance (mirrored from the 8.11 production environment).
2.New business setup with the customization required on the old 8.11 production environment!
3.In parallel to the previous task, upgrade & integrate the 9.11 new instance with POS.
4.Finalize the New business setup (training, fine tuning).
5.Updates business data & control tables (data migration from the most updated 8.11 production environment to the new VM 9.1 integrated environment)
6.Go live.

Which scenario makes more sense for you from technical and business stand of point?
Also does anyone have any concerns, warning, tip for both the update and integration missions?
